Terms for using GateSide in estate operations.

These terms explain how estates, parties, guards, visitors, staff, vendors, and other authorized users may use GateSide for access control, security workflows, payments, credentials, and estate operations.

1. Acceptance of terms

By accessing or using GateSide, you agree to these Terms & Conditions. These terms apply to estates, estate administrators, parties, guards, visitors, facility managers, vendors, service providers, estate staff, and any other authorized users of the platform.

If you use GateSide on behalf of an estate, company, parties association, management body, or service provider, you confirm that you have authority to accept these terms for that organization.

If you do not agree to these terms, you should not use the platform.

2. About GateSide

GateSide is owned by Bytebranch Labs Limited and provides software for estate access, visitor pass management, party coordination, service charge visibility, physical credentials, gate verification, notifications, smart access workflows, and related estate operations.

GateSide is an operational platform for estate management. It does not replace the responsibility of an estate, its administrators, guards, managers, or authorized personnel to run lawful, fair, and safe estate operations.

3. Estate administrator responsibilities

Estate administrators are responsible for configuring estate rules, access policies, user roles, party records, visitor approval flows, levy enforcement, staff permissions, directories, and retention settings where supported by the platform.

Estates remain responsible for guard conduct, emergency response, party disputes, visitor approval decisions, billing rules, levy enforcement, refunds, party communications, and all on-ground estate operations.

Administrators must ensure that guards, facility managers, finance personnel, vendors, and other authorized users only access information needed for their assigned operational duties.

4. Party, visitor, guard, and staff use

Users must provide accurate information, keep account credentials secure, and use GateSide only for lawful estate management, party, visitor, security, billing, or administrative purposes.

Users must not create false passes, impersonate another person, misuse visitor information, bypass security workflows, harass guards or estate staff, interfere with estate operations, or use GateSide for any unlawful purpose.

GateSide may support family member profiles or related household access features. Because these features exist to manage authorized access properly, users should not share personal passes, QR codes, NFC cards, account credentials, or vehicle access credentials with unauthorized persons.

5. Access control, suspensions, and revocations

Estates may suspend, restrict, or revoke party accounts, visitor access, NFC cards, QR passes, vehicle access, physical credentials, or other access permissions for unpaid levies, rule violations, revoked authorization, suspected misuse, fraud, security incidents, or other estate-defined reasons.

Visitor passes, party passes, vehicle credentials, and physical credentials may be subject to expiry rules, usage limits, estate-defined restrictions, and verification requirements.

GateSide may also suspend or restrict access to accounts, estates, users, credentials, or platform features where needed to investigate misuse, prevent fraud, protect platform security, comply with law, or protect parties, visitors, estates, GateSide, or the public.

6. Security operations and gate verification

GateSide supports access verification, gate records, credential checks, audit logs, and security workflows. Where an estate enables GateSide for gate verification, guards and authorized personnel may rely on GateSide records, pass status, credential status, and verification results when making access decisions.

However, GateSide does not guarantee that theft, trespass, violence, fraud, unauthorized entry, operational failure, or security incidents will never occur. Estates remain responsible for their broader security procedures, physical guard training, emergency protocols, and on-ground enforcement.

Users must not clone NFC credentials, duplicate QR codes, share passes improperly, tailgate, bypass access checks, tamper with devices, exploit verification flows, or attempt to defeat estate security controls.

7. Physical credentials and smart access infrastructure

GateSide may support QR passes, pass numbers, NFC cards, vehicle stickers, scanners, NFC readers, gate devices, smart barriers, cameras, third-party access systems, and other smart access infrastructure.

Hardware, connectivity, telecom networks, internet service, power supply, third-party access systems, and estate devices may fail independently of GateSide. Estates are responsible for maintaining appropriate fallback procedures for their physical access environment.

8. Payments and service charges

GateSide may provide features for service charge visibility, levy records, payment references, transaction status, billing reports, and related estate finance workflows.

GateSide does not currently operate paid subscription billing for estates through these terms. If paid subscriptions, transaction fees, premium plans, or commercial pricing are introduced, GateSide may update these terms or provide separate commercial terms.

Estate administrators remain responsible for billing rules, charge accuracy, reconciliation decisions, refunds, levy enforcement, and financial communication with parties unless a separate written agreement says otherwise.

9. Data, content, and exports

Estate records, party records, visitor records, directories, uploaded information, announcements, billing records, and operational logs may be owned or controlled by the estate, GateSide, or both, depending on the nature of the record and the applicable agreement.

Authorized estate users may export supported estate data where export tools are available. Estate owners may also request a supported data export through the GateSide dashboard or by email before estate deletion is completed. After offboarding, deletion, or account closure, data recovery may no longer be possible once deletion is completed.

GateSide does not claim the right to use estate or party operational data for external benchmarking, advertising, or unrelated analytics. Platform data may still be processed as needed to operate, secure, support, debug, and improve the service.

10. Estate deletion requests and offboarding

Only an estate owner, or a verified representative acting on the estate owner's authority, may request deletion of estate-linked data. Deletion requests may be submitted through the GateSide dashboard or by contacting GateSide at hello@gateside.pro. GateSide may require verification of authority before processing an estate-wide deletion request.

Once GateSide accepts an estate deletion request, the estate enters a 7-day pending deletion period. The estate owner may cancel the request during that period. If the request is not cancelled within 7 days, GateSide will proceed with deletion.

Estate deletion may disable or permanently remove estate-linked party, guard, visitor, pass, credential, service charge, support, announcement, upload, audit, gate activity, device, and operational records. This may affect access verification, party accounts, guard workflows, billing visibility, credentials, reports, and estate history.

Estate owners are responsible for requesting any supported data export they need before deletion is completed. Data exports are not automatic and must be requested through the dashboard or by email before the deletion is completed. Once deletion is completed, GateSide may not be able to recover the deleted estate data.

GateSide may retain limited records where necessary for legal obligations, security investigations, fraud prevention, dispute resolution, payment reconciliation, accounting, tax, enforcement of these terms, regulatory compliance, backup management, or protection of GateSide, estates, parties, visitors, or the public.

Deleted records may remain in encrypted backups for up to 7 days until overwritten or expired through ordinary backup processes. GateSide may also take reasonable steps to notify relevant service providers or subprocessors of deletion where applicable, subject to their own retention and legal obligations.

11. Acceptable use

Users must not use GateSide for illegal surveillance, stalking, harassment, discrimination, unlawful data collection, unauthorized access control, fraudulent visitor requests, identity misuse, or any activity that violates applicable law or estate rules.

Users must not reverse engineer, scrape, attack, overload, disrupt, probe, scan, resell, copy, or misuse the platform. Penetration testing, vulnerability scanning, automation, or security research must not be performed without written permission from GateSide.

Users must not share credentials, compromise accounts, interfere with logs, manipulate payment records, falsify identities, or attempt to access information they are not authorized to view.

12. Third-party services and integrations

GateSide may depend on third-party services for hosting, messaging, payments, analytics, infrastructure, AI-assisted operations, email, WhatsApp notifications, cloud storage, monitoring, and smart access integrations.

Providers such as WhatsApp, Paystack, Monnify, Azure, Vercel, telecom providers, payment networks, hardware vendors, and other third-party systems may fail, delay, reject, limit, suspend, or change their services independently of GateSide.

GateSide is not responsible for third-party outages, provider restrictions, failed messages, failed payments, hardware downtime, telecom issues, or integration failures outside GateSide’s reasonable control.

13. AI-assisted and beta features

GateSide may include AI-assisted, experimental, preview, or beta features to help with operational reports, workflow support, insights, summaries, or administrative assistance.

AI-assisted outputs are provided for operational support and may be incomplete, inaccurate, or require human review. Estates remain responsible for decisions made from AI-assisted suggestions or reports.

Beta or experimental features may change, break, produce limited results, or be removed without notice as GateSide improves the platform.

14. Platform changes and usage limits

GateSide may modify features, add or remove integrations, introduce usage limits, change workflows, update access controls, change pricing, suspend features, or discontinue parts of the platform where needed for security, reliability, compliance, product quality, commercial sustainability, or operational improvement.

Where a material change affects active estates, GateSide may provide notice through the platform, email, WhatsApp, or another appropriate channel.

15. Availability and force majeure

We work to keep GateSide reliable, but the platform may occasionally be unavailable because of maintenance, bugs, network issues, third-party interruptions, internet outages, power failures, telecom issues, civil unrest, strikes, government actions, natural events, payment provider downtime, cloud provider downtime, or other events outside our reasonable control.

GateSide is not liable for failure or delay caused by events beyond its reasonable control.

16. Intellectual property

GateSide, including its software, interface, brand assets, documentation, workflows, platform design, and underlying technology, is owned by Bytebranch Labs Limited or its licensors.

Users may not copy, reverse engineer, resell, sublicense, modify, or create derivative works from the platform except as allowed by law or by a written agreement with GateSide.

17. Legal compliance and investigations

GateSide may cooperate with law enforcement requests, court orders, regulator requests, estate investigations, fraud investigations, misuse investigations, emergency situations, and security incident reviews where legally permitted or required.

Users and estates are responsible for ensuring that their use of GateSide complies with applicable Nigerian law, estate rules, privacy obligations, security obligations, and any other legal requirements that apply to their operations.

18. Limitation of liability

GateSide is provided as operational software for estate coordination, access verification, record keeping, notifications, and related workflows. It is not a guarantee of physical security, crime prevention, dispute prevention, uninterrupted access, or emergency response.

To the maximum extent permitted by law, GateSide and Bytebranch Labs Limited will not be liable for indirect, incidental, consequential, special, punitive, reputational, business interruption, loss of profit, loss of data, security incident, unauthorized access, third-party failure, or operational damages arising from platform use or inability to use the platform.

19. Governing law and disputes

These Terms & Conditions are governed by the laws of the Federal Republic of Nigeria.

Where a dispute cannot be resolved informally, it will be subject to the jurisdiction of the courts of Lagos State, Nigeria, unless a separate written agreement states otherwise.
